Turnium Announces Shares for Debt Transaction, Promissory Notes and Grant of Options

March 6, 2024 – Vancouver, Canada – Turnium Technology Group Inc. (TSXV: TTGI) (FSE: E48) (“Turnium” or the “Company”), is pleased to announce that it will enter into debt settlement agreements to settle outstanding debt in the amounts of approximately C$600,000 (the “Debt”) owing to certain directors and arm’s-length creditors of the Company, by issuing 8,567,857 common shares in the capital of the Company (the “Common Shares”) at a deemed price of C$0.07 per Common Share (the “Shares-for-Debt Transaction”), to the creditors.

Management

Johan Arnet, Chief Executive Officer and Founder

Johan has founded and grown six IT, internet, and telecom companies since 1995. He began developing the proprietary software that is now Turnium’s SD-WAN platform in 2009. Johan studied Computer Science at Simon Fraser University and left after two years to become an entrepreneur and continue the IT Consulting work that he had started in high school. In 1999, Johan received the Young Entrepreneur of the Year Award from the Business Development Bank of Canada (BDC). In 2009, Johan also started Rocket Networks, an Internet Service Provider business, and sold it to TeliPhone Navigata in 2014.

Juliet Jones, CFO and Corporate Secretary

Juliet Jones, CFO and Corporate Secretary, has over 25 years experience. As CFO of NubevaTechnologies, a Silicon Valley cyber security company, and LOOPShareLtd., she completed reverse takeovers, listing on the TSXV in 2018 and 2016 respectively. Juliet was also CFO at WebTechWireless, a TSX listed SaaS company, raising over $50M in equity and held CFO and CEO roles at Peace Arch Entertainment, a TSX listed company that completed a US IPO.

Colin Atkinson, Chief Operating Officer

Colin has been involved in management and leadership roles for over 25 years. His industry experiences range from technology to commercial construction and his teams have successfully completed millions of dollars of projects including being part of the renovations of the Telus World of Science, several new buildings at the University of British Columbia, and the homes of two of the most prominent families in British Columbia. Colin’s ability to build and create successful teams has consistently led to sustained growth in every industry in which Colin has worked.

Haresh Kheskani, Chief Technology Officer

Haresh Kheskani, CTO, has over 37 years of experience in technology and software development. Haresh has led teams at ONStor and Cisco, including leading development of cloud, container and network function virtualization solutions. Prior to joining Turnium, Haresh was VP Product Management, Cloud at Loodse.

Career Highlights

  • Led several Large projects in Cisco Systems including building Routers, switches and Cloud platform.
  • 2000 – Led a large Engineering team to deliver CRS-1 the biggest router in the world including the first multi-chassis version of it.
  • 2008 – Led the IOS SW team to deliver the next generation IOS on a wired and wireless switch to fulfill Cisco’s leading edge Wireless strategy.
  • 2014 – Built and led a high powered team to deliver Cisco’s OpenStack platform – CVIM which has had great traction in the Telco customer base of Cisco.
  • 2018 – Led Loodse (German Startup) in representing the company in the US market wrt partnerships, strategic sales etc in the Cloud Platform area.
  • 2020 – 2020 – Joined Turnium Technology to provide leadership on the strategic partnerships and sales front towards fulfilling the full potential of Turnium’s SDWAN technology.

Geoff Hultin, Chief Marketing Officer

Geoff has been involved in the internet and telecom industries since 1994. He has grown new business units, products, and sales at companies including Telus, Sporg.com, Talemetry, Bell Canada, Allstream, and Urbanfibre.

Logan Campbell, Global EVP Sales and Interim CRO

Logan is a highly successful sales leader with over 12 years’ experience with direct sales. He has represented Fortune 500 companies and sold over $250M in annual recurring revenue. Logan opened his first direct sales business when he was 24 years old.

Sandeep Panesar, SVP Strategic Engagements

Sandeep Panesar is an entrepreneur with an extensive background in technology; telecommunications, networking, and cloud infrastructure; and information security. He has built numerous businesses from his start in 1995 with innovative and interactive web sites and cross media experiences for the film and music industries, to building an information security entity (SecuritySage Overdrive) that performed edge security management, protected IP via connections management and protocol analysis to meet internal security audit standards for the likes of Motorola and US Navy; to building the largest independent Canadian national CLEC (Competitive Local Exchange Carrier) and telecommunications carrier in Canada.

In his executive management roles, he has headed up M&A and divesture activity, identified synergies, and integrated multiple entities, managed legal strategy and corporate vision, and led sales and channel initiatives that have converted organizations’ sales pipelines into successes. He has served as CEO, COO, President and board director building value for stakeholders by applying his creativity, vision and strategy to his projects. He holds a degree in Mechanical Engineering, with a specialization in Biomechanics, from Carleton University in Ottawa, Canada.

  • 2011 – Built through acquisition the largest independent CLEC and telecommunications provider in Canada, Teliphone Navigata-Westel Communication. Drove operational success as COO by driving business to $48M annual revenues within 36 months. Expanded to 20 offices and 700 points of presence across Canada. Led strategic vision and sales as CEO.
  • 2018 – Joined Turnium Technology to deliver layer-3 virtual networking (SD-WAN solutions) to build secure networks, extend existing networks, connect cloud instances (hybrid/multi), and to enable as-a-Service providers. Delivers enterprise facing strategy and sales as SVP, Strategic Engagement.

Derek Spratt, Chairman of the Board

Derek is a 38-year veteran of the Canadian tech space, having founded and lead publicly and privately firms in the mobile, IoT and Analytics market segments (PCS Wireless, Intrinsyc, Mobidia), as well as being a board member and angel/seed investor in many other tech firms. He has engaged in the VC community with board, advisory, and partnership positions (BC Discovery Fund, BC Advantage Fund, Quorum Capital, Bessemer Venture Partners, ScaleUP Ventures). Derek has always taken a strong interest in the non-profit side of the tech community as a board member of AceTech, Wavefront, WinBC, DigiBC, and Vancouver Enterprise Forum. Derek has personally funded Science World’s Scientist in Residence Program, and Earth Justice. He has an Electrical Engineering degree from Queen’s University in Kingston, Ontario.

Jim Lovie, Director

Jim Lovie has over 30 years of experience in the technology and communications sectors. He has held senior executive roles with Xerox, Bell Canada, and most recently, with Rogers Communications. Jim’s expertise in Sales, Service and Distribution have allowed him to support the growth of these corporations. Jim is very community minded and has participated on the board of Southlake Regional Hospital for 12 years and was the Chair of the Southlake Foundation.

Ralph Garcea, Director

Ralph co-founded Focus Merchant Group in September 2018 and has more than 22 years experience in senior positions at major domestic, international, and boutique investment firms. He was a top-ranked research analyst, well regarded for the depth and breadth of knowledge of Canadian technology, gaming and industrial companies across a broad range of market capitalizations. Over the years, he has received top three rankings from Brendan Woods, Greenwich, Starmine and Thomson Reuters surveys.

Before becoming a sell-side analyst, Ralph was a research engineer for Bombardier Aerospace, and a business unit manager for Michigan-based LMS North America, managingsales, marketing, and servicess. He holds a Bachelor’s degree (Honours) in Engineering Science (Aerospace) from the University of Toronto and an M.B.A. (Honours) from the Schulich School of Business at York University. Ralph is a member of the Professional Engineers of Ontario (PEO), the American Institute of Aeronautics and Astronautics (AIAA), and the Society of Automotive Engineers (SAE). He currently serves as a Director on the board of TSX-listed Converge Technology Solutions, TSXV-listed Edgewater Wireless Systems, TSX-V listed Deal Pro Capital Corp. and TSX-V listed Spitfyre Capital.
